For more than 20 years Robert May has represented both privately-held and publicly-held companies in corporate, business, and securities matters. He has handled mergers, acquisitions and leveraged buy-outs; secured and unsecured debt financings; securities offerings; venture capital and angel investments; shareholder arrangements; joint ventures and partnerships; contracts, including employment and compensation agreements; representation of registered investment advisors; and registered broker dealers regulatory matters. Additionally Mr. May has represented company and shareholder interests in enterprise dissolutions and disputes.
Mr. May’s representative matters include the sale of a New Jersey manufacturing business to Charterhouse Equities, the acquisition of a bottled water manufacturing and bottling business from BSN/Evian, the acquisition and sale of various single and multiple flag dealerships, the sale of chain of retail lumber and hardware operations to UK trading company, the private placement of units in a $13 MM hedge fund, and the negotiation of cellular system roll-out equipment agreement between Motorola and CellularOne for the Atlanta metropolitan area.
Mr. May is admitted to practice in the State of New York, the State of Massachusetts, the State of Pennsylvania, and the State of Texas, and he is admitted to practice before the United States Tax Court. He is a member of the New York State Bar Association and the American Bar Association. He is a member of the Council for Economic Outreach, where he serves on the Entrepreneurship Award Committee. He is an adjunct professor at the State University of New York at Albany Business School, where he also serves on the Board of Directors for the Dean’s Advisory Counsel.
Prior to relocating to upstate New York, Mr. May practiced at Testa, Hurwitz in Boston, Massachusetts in the venture capital finance department, and at the Gardere Law Firm in Dallas, Texas in their tax department.
